Terms of Service

1. Acceptance of Terms

By creating an account, accessing, or using ReleGuard ("Service"), you agree to be bound by these Terms of Service, our Privacy Policy, and all applicable laws and regulations. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, do not use the Service.

2. Description of Service

ReleGuard is a B2B SaaS platform that provides automated search relevance testing and quality monitoring for search providers including Algolia, Elasticsearch, and others. The Service includes:

• Automated test execution on scheduled or manual triggers
• Search relevance regression detection and quality scoring
• Real-time alerting via email, Slack, webhooks, and PagerDuty
• Historical test run data and trend analysis
• Team collaboration and multi-user access controls
• API access for programmatic test execution and data retrieval

ReleGuard continuously evolves. We may add, modify, or discontinue features with reasonable notice. We reserve the right to impose usage limits or restrict access to certain features based on your subscription tier.

3. Account Registration & Eligibility

3.1 Account Creation

To use ReleGuard, you must create an account by providing accurate, complete, and current information, including your name, email address, and company details. You agree to update this information promptly if it changes.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account, whether authorized by you or not
• Notifying us immediately of any unauthorized access or security breach
• Using strong, unique passwords and enabling two-factor authentication when available

ReleGuard cannot and will not be liable for any loss or damage arising from your failure to secure your account.

3.3 Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts. The Service is intended for business use only. By using ReleGuard, you represent that you meet these requirements.

3.4 One Account Per Entity

You may not maintain multiple free trial accounts. Organizations must consolidate usage under a single paid account with appropriate user seats.

4. Subscription Plans & Pricing

4.1 Free Trial

New accounts receive a 14-day free trial with full access to Professional-tier features. No credit card is required to start your trial. At the end of the trial period, you must subscribe to a paid plan to continue using the Service. Trial data is retained according to your first paid subscription tier.

4.2 Subscription Tiers

ReleGuard offers multiple subscription tiers with different feature limits:

4.3 Billing & Payment

Subscriptions are billed in advance on a monthly or annual basis, depending on your chosen plan. You authorize ReleGuard (via our payment processor, Stripe) to charge your payment method:

• On the date you subscribe (for your first billing period)
• On the renewal date for subsequent billing periods
• For any additional fees incurred (e.g., overage charges, if applicable)

If payment fails, we will attempt to charge your card up to three times over a 7-day period. If all attempts fail, your account may be suspended or downgraded until payment is received.

4.4 Taxes

All fees are exclusive of taxes. You are responsible for all applicable sales, use, VAT, and other taxes. For EU customers, VAT will be added to your invoice unless you provide a valid VAT number for reverse charge.

4.5 Refunds

All fees are non-refundable, except as required by law or as explicitly stated in these Terms. If you cancel your subscription, you will continue to have access until the end of your current billing period, but no refund will be issued for the remaining time.

4.6 Price Changes

We reserve the right to modify our pricing at any time. Price changes will not affect your current subscription period but will apply upon renewal. We will provide at least 30 days' advance notice of any price increase via email. If you do not agree to the new pricing, you may cancel your subscription before the renewal date.

4.7 Downgrades & Upgrades

You may upgrade your plan at any time; changes take effect immediately, and you will be charged a prorated amount. Downgrades take effect at the start of your next billing cycle. If downgrading results in exceeding your new tier's limits (e.g., number of tests or users), you must remove excess items before the downgrade completes.

5. Acceptable Use Policy

You agree to use ReleGuard in compliance with all applicable laws and these Terms. You agree not to:

• Use the Service to violate any local, state, national, or international law or regulation
• Transmit any harmful code, viruses, malware, or other disruptive technologies
• Attempt to gain unauthorized access to our systems, other users' accounts, or connected search providers
• Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure
• Reverse engineer, decompile, or disassemble any part of the Service
• Scrape, mine, or harvest data from the Service using automated means without permission
• Use the Service to monitor search providers you do not have authorization to access
• Resell, redistribute, or sublicense access to the Service without our written consent
• Remove, obscure, or alter any proprietary notices (copyright, trademark, etc.)
• Use the Service in a way that could damage our reputation or that of our customers

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund. We reserve the right to investigate and take appropriate legal action against anyone who violates this policy.

6. API Credentials & Search Provider Access

6.1 Your Responsibility

To use ReleGuard, you must provide API credentials (keys, tokens, endpoints) for your search providers (Algolia, Elasticsearch, etc.). You represent and warrant that:

• You have the legal right to provide these credentials and authorize ReleGuard to use them
• Your use of ReleGuard does not violate any agreements with your search provider
• You are responsible for any costs incurred with your search provider due to ReleGuard's test execution

6.2 Security & Encryption

We encrypt all API credentials at rest using AES-256 and transmit them over secure channels (TLS 1.2+). However, you remain responsible for the security of your credentials and should monitor your search provider accounts for unauthorized activity. We are not liable for any damages resulting from unauthorized access to your search provider accounts.

6.3 Rate Limits & Costs

ReleGuard executes searches against your providers according to your test schedule. You are responsible for understanding and monitoring the rate limits and costs imposed by your search providers. We recommend using read-only or restricted API keys where possible.

7. Intellectual Property

7.1 Our IP

ReleGuard, including all software, designs, text, graphics, logos, and other content, is owned by ReleGuard and protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to access and use the Service during your subscription period. This license terminates when your subscription ends.

7.2 Your Content

You retain all rights to the data and content you provide to ReleGuard (test configurations, search queries, expected results, etc.). You grant us a license to use, store, and process this content solely to provide the Service. We do not use your content for any other purpose without your consent.

7.3 Feedback

If you provide feedback, suggestions, or ideas about ReleGuard, you grant us a perpetual, worldwide, royalty-free license to use and incorporate that feedback into our Service without any obligation to you.

8. Service Availability & Support

8.1 Uptime

We strive to maintain high availability and aim for 99.9% uptime (excluding scheduled maintenance). However, we do not guarantee uninterrupted or error-free service. The Service may be temporarily unavailable due to maintenance, updates, or factors beyond our control (e.g., third-party provider outages, network issues).

8.2 Scheduled Maintenance

We will provide reasonable advance notice (typically 24-48 hours) of scheduled maintenance via email or in-app notifications. Emergency maintenance may occur without notice.

8.3 Support

Support levels vary by subscription tier:

• Starter: Email support (48-hour response time)
• Professional: Email support (24-hour response time)
• Business: Priority email support (12-hour response time)
• Enterprise: Dedicated support with custom SLA

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• ReleGuard is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
• We do not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected.
• ReleGuard shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost revenue, loss of data, or business interruption, arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages.
• Our total liability to you for all claims arising out of or related to these Terms or your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100 (whichever is greater).

Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless ReleGuard and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your API credentials or search provider configurations

11. Term & Termination

11.1 Term

These Terms begin when you create an account and continue until terminated by you or us.

11.2 Termination by You

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of your current billing period. You will continue to have access until that date, but no refund will be issued.

11.3 Termination by Us

We may suspend or terminate your account immediately, without notice, if:

• You violate these Terms or our Acceptable Use Policy
• Your payment method fails and you do not update it within 7 days
• We believe your account poses a security risk or is being used fraudulently
• We are required to do so by law or court order

We may also terminate the Service entirely with 30 days' notice via email.

11.4 Effects of Termination

Upon termination:

• Your right to use the Service immediately ceases
• You lose access to your account, test configurations, and historical data
• We will delete your data within 30 days (except as required by law)
• Sections of these Terms that by their nature should survive (e.g., liability limitations, indemnification) continue to apply

11.5 Data Export

Before canceling, you may export your test configurations and results. We are not responsible for data loss if you fail to export your data before termination.

12. Changes to Terms

We may update these Terms periodically to reflect changes in our practices, features, or legal requirements. If we make material changes, we will notify you via email or prominent notice in the Service at least 30 days before the changes take effect.

Your continued use of ReleGuard after changes become effective constitutes acceptance of the updated Terms. If you do not agree to the new Terms, you must cancel your subscription before the effective date.

13. Dispute Resolution & Governing Law

13.1 Informal Resolution

Before filing a legal claim, you agree to contact us at legal@releguard.com to attempt to resolve the dispute informally. We will do our best to resolve disputes amicably.

13.2 Class Action Waiver

To the extent permitted by law, you agree that any dispute will be resolved individually and you waive the right to participate in any class action, collective action, or representative proceeding.

14. Miscellaneous

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ReleGuard and supersede any prior agreements or understandings.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

14.4 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms at any time without notice (e.g., in connection with a merger or acquisition).

14.5 Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or internet service failures.
